Terms of Service

These Terms of Service (“Terms”) govern access to and use of Xoaro (the “Service”), a customer relationship management platform. By accessing or using the Service, you agree to these Terms on behalf of yourself and, if applicable, the business you represent (the “Customer”). Xoaro accounts are provisioned by us directly rather than through self-service registration.

1. Account Use

A Customer organization and its authorized users may access the Service according to the roles and permissions the Customer’s own administrators configure. You are responsible for the confidentiality of your login credentials and for all activity under your account.

2. Customer Responsibilities

  • The accuracy and legality of any data you upload, import, or store in the Service.
  • Obtaining any consents required by law before sending communications through the Service to your own contacts.
  • Configuring the access permissions of your own users appropriately.
  • Complying with the terms and policies of any third-party integration you connect (including Meta’s WhatsApp Business Policy where applicable).

3. Acceptable Use

You agree not to use the Service to:

  • Send unsolicited, unlawful, or abusive communications.
  • Upload data you do not have the right to store or process.
  • Attempt to gain unauthorized access to another Customer’s data or account.
  • Interfere with or disrupt the integrity or performance of the Service.
  • Use the Service in violation of applicable law or any connected third-party integration’s own terms.

4. Subscriptions and Payment

Access to certain features may require a paid subscription. Plans, pricing, billing cycles, payment terms, and any refund terms are those set out in the order form or agreement entered into with the Customer. Subscriptions are arranged with us directly; the Service does not currently offer self-service checkout. If you do not have an order form or agreement, please contact us.

5. Integrations and Third-Party Services

The Service supports optional integrations with third-party providers (WhatsApp/Meta, calendar providers, spreadsheet import sources, email delivery providers, and payment processors). Your use of a connected integration is also subject to that provider’s own terms. We are not responsible for the availability or conduct of third-party services.

6. Customer Data

As between Xoaro and the Customer, the Customer retains ownership of the data it uploads or generates using the Service (“Customer Data”). Xoaro processes Customer Data solely to provide the Service, per our Privacy Policy.

7. Intellectual Property

Xoaro, its logo, and the Service’s underlying software are the property of Xoaro or its licensors. These Terms do not grant you any right to use our trademarks or branding without prior written permission. Customer Data remains the Customer’s own property as described above.

8. Suspension and Termination

We may suspend or terminate access for an account that violates these Terms or poses a security risk. A Customer may stop using the Service and close its account at any time; see our Data Deletion page for what happens to data afterward.

9. Disclaimers

The Service is provided “as is” and “as available,” without warranties of any kind, to the maximum extent permitted by applicable law. We do not warrant that the Service, or any third-party integration, will always be uninterrupted or error-free.

10. Limitation of Liability

To the maximum extent permitted by applicable law, MAVENNEXUS LABS PRIVATE LIMITED, which operates XOARO, will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of data, revenue, or profits, arising from your use of the Service.

11. Governing Law

These Terms are governed by the laws of India.

12. Changes to These Terms

We may update these Terms from time to time. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

XOARO is operated by MAVENNEXUS LABS PRIVATE LIMITED, a company incorporated in India.
